Thanks for using our products and services (herein referred to as
"products" / "services"). The products and services are provided (herein
referred to as "job" / "project") by International Enterprise Services,
Inc. (herein referred to as "IES" / "we" / "us" / "our"), headquartered
at 8 Spring Lane, Suite 3, Plymouth, MA 02360, United States.
By using / purchasing our products and services, you are agreeing to these terms. Please read them carefully. Should you have any questions, please feel free to contact us at any time.
We hate spam just as much as you do. We will never share your
information with third parties unless required to do so by law, find it
necessary in order to collect a debt, or we are requested to do so by
you. The information we collect from you will be used to maintain your
services with us and to represent the quality of our work to others,
such as in our online portfolio.
I. PROJECT INITIATION
The initiation of an IES service may require a deposit by the client in the amount of half of the initial estimated charges. This is typical for new clients. Current and past clients with an acceptable record of payment may not be required to make a deposit.
II. PROJECT TIMELINESS INCENTIVES AND PENALTIES
We cannot complete a job if the client does not provide the necessary content, circumstances, or other required elements. If we are waiting for content or other pieces of information, the client will be notified. If the client fails to handle the requests in a timely manner, the project may be delayed.
In order to keep projects on track, IES charges penalties for delays. We require all information to be submitted at once and will not accept multiple submissions. If the client has not submitted all content and other required elements within 14 days of project initiation, client will be billed $25 per week for every week the project is delayed.
If the client driven delays continue, IES will complete as much of the project as possible without the missing elements. In order to keep all accounts current, we may bill for the completed project and add missing elements later as they are received. If more than 30 days from the project completion date has passed, and the client still has not submitted the remaining missing content, we reserve the right to consider the project complete in its entirety and bill for all future work.
III. HOW CONTENT MAY BE SUBMITTED
Any digital content must be submitted in its entirety, electronically via email (contact us for the correct email address) or FTP drop (contact us to setup an FTP account). Text must be selectable as actual text rather than as flattened images. Both text and photos/graphics must be clearly labeled with the name of the page on which it will be displayed. Content may not be submitted via fax or paper copies. Exceptions to this policy must be approved in advance and will incur a surcharge.
IV. OWNERSHIP AND COPYRIGHT
All text and photos used as content in a commissioned website must be provided by the client (unless the client has hired IES for content development). The client must have ownership or permission to use all content he/she provides for use. It is up to each client to ensure his/her design and/or content does not infringe on any trademark, service mark, or copyright. IES cannot be responsible for intellectual property infringements on behalf of clients. Also, IES cannot be responsible for submitted content. Clients should not mail irreplaceable photos or documents or send content that must be returned.
V. OWNERSHIP OF WEBSITE DESIGN
Upon completion of a custom website design and payment of web design and development fees, the client becomes the owner of the commissioned website. The client may continue to use the commissioned website to promote their company or organization, regardless of whether he/she chooses to continue further services with us. The client does not have the right to resell the design or development to other companies. The client does have the right to add pages onto the existing site or have another company add pages onto the existing site using the commissioned website design/development. The "web design by" line may not be removed under any circumstance.
It is important to note that a web hosting fee and domain fee must be paid to IES or another provider to have your website live on the Web. IES may not be able to facilitate the setup of your website if hosting and domain are provided by another provider.
VI. CREDIT TAGS
Our firm has worked hard to bring you a customized product. As a result of our hard work, we may showcase job in our portfolio. Credit tags that contain our company name, such as "Web design by International Enterprise Services", "Powered by International Enterprise Services", "Designed by International Enterprise Services", "Built by International Enterprise Services", etc. may not be altered in any way. You may make changes to any other part of the website, however it is expected that this line remain unchanged.
VII. OWNERSHIP OF DOMAIN NAME
Website domain names are leased from domain name registration companies. When we register a domain name for a client, that registration will be made in our company's name. Upon payment of any outstanding fees, the client has the right to use that domain name regardless of whether he/she chooses to continue further services with us. All domain name renewal fees are the responsibility of the client. Domain names will automatically be renewed by IES sixty days before they expire on behalf of the client. The client will be invoiced 30 days prior to the renewal date. Failure to pay the renewal fee will result in termination and sale of the domain name. IES cannot be responsible for expired domain names if you have failed to pay your outstanding balance in the past.
VIII. SEARCH ENGINE GUARANTEE
Most every client would like his/her website to rank high in search engine results for selected keywords, yet search engine results are determined by a multitude of constantly changing factors, third party search engines, and the amount and quality of competition on the world wide web. We guarantee that certain search engine friendly techniques will be used in the creating of each custom website, such as keywords in the title bar at the top of the browser, the meta tags in the hidden coding behind the scenes, and alternate text behind some images. If the keyword placement in these three areas is not to the client's liking, we will change these three items to the client's choices one time at no cost. Subsequent or additional changes will be billed at the standard hourly rate. Additional search engine optimization (SEO) services are available for additional fees. IES cannot be held responsible for search engine results.
IX. SEO, SOCIAL MEDIA MANAGEMENT, AND MARKETING PLANS
These marketing plans offer a variety of services, including search engine optimization and social media (Facebook, Twitter, YouTube, etc.) management. These plans require a 3 month minimum since it takes time to ramp up the effectiveness of these campaigns. After three months, the Marketing Plans convert to month-to-month plans which may be cancelled at any time with a 45 day written notification. Services provided in the marketing plans will be specified in a written agreement since plans may be tailored to meet each client's needs. No service or standard of service is implied unless in writing in the agreement, thus, clients must be sure to specify any specific request (such as a particular number of followers or a particular social networking tool used, etc.) in writing.
X. HOW REVISIONS ARE HANDLED
We take pride in providing attractive products and services, and the vast majority of our clients are extremely pleased with the final product we create for them. However, some services are a subjective art, and not everyone's tastes are the same. While we will gladly make initial minor modifications for no additional charge, it is important to be clear on how revisions are handled. Design preferences, such as look, feel, placement, color, functionality, etc. should be specified prior to the commencement of any project. If any design preference stated in the initial details were not met, the adjustments will be made free of charge. If the client develops preferences or changes his/her mind after the completion of the work, adjustments will be made by the hour at $100.00 per hour.
XI. HOW WEBSITE MANAGEMENT REQUESTS ARE HANDLED
Clients who have signed up for a web management plan receive discounts off the hourly rates for website updates. The standard half hour maintenance plan is enough time to add about five photos and a few paragraphs of text. Client's on an IES web maintenance plan may send update requests via email (contact us for the correct email address). Routine maintenance which fits into the allotted time specified in the client's maintenance plan is typically completed in about three to four business days. If a client on a website maintenance plan requests more than the scheduled amount of maintenance, he/she will be given a quote and, if approved, the additional work will be completed at a discounted rate of $75.00 per hour and the turnaround time will be based on workload issues. Clients who are not on any maintenance plan may request website updates at the full $100.00 hourly rate and the turnaround time will be based on workload issues.
Monthly maintenance plan fees are separate from hosting fees and may be cancelled at any time. (See details under the Termination of Services section).
I. HOW TECHNICAL SUPPORT IS HANDLED
Priority is organized in the following order:
1). emergency calls
2). clients on a monthly maintenance plan
3). tier 3 tickets
4). tier 2 tickets
5). tier 1 tickets
6). scheduled meetings
II. EMERGENCY SUPPORT
24 hour live person computer support is available at a rate of $150.00 per hour between the hours of 6:00PM and 9:00AM. The phone number for emergency support is listed on the contact us page of our website. Please note, you will be billed a $50.00 answering fee for any call made to support between the hours of 6:00PM and 9:00AM.
Clients whose websites are hosted by IES have access to technical support 24 hours a day. In the event of a website or hosting outage, clients should visit our ticketing system and open a new support ticket. Do not call for hosting support, as you will be billed a $50.00 answering fee plus $150.00 per hour (one hour minimum).
I. PAYMENT POLICIES
Generally, one half of the initial project fees are due upon project initiation. Upon project completion, the remaining balance is due in 30 business days. Clients that we regularly interact with will have a net 30 option.
II. CHARGEBACKS, RETURNED CHECKS, ETC.
In the event that a client makes a credit card chargeback or makes a payment with a check that is not valid, a $100.00 fee will be added to the outstanding balance. This is to cover fees that we incur through our banks.
III. LATE PAYMENTS/UNPAID BALANCES
Clients experiencing financial hardship should contact IES to discuss payment options. We would prefer to work with you rather than start the repossession process or send your account to debt collection.
Clients on a monthly maintenance plan are entitled to a discount off all hourly services performed by IES agents. Once an invoice is unpaid for 30 days, these discounts may be revoked.
IES charges a late fee of 1.5% per month of the total outstanding
balance for invoices not paid by the end of the net 30 term. Accounts at
net 45 are at risk of termination and repossession of any liquidable
products, which will be listed for sale in an attempt to recover our
costs. We reserve the right to sell your overdue account balance to a
debt collection agency or seek legal damages after 60 days of
nonpayment. Should we choose to do so, you would be responsible for all
associated fees. (See details under the Debt Collection Details section
below for more information).
IV. DEBT COLLECTION DETAILS
The collection agency will bombard the client with phone calls to their mobile phone, land line phone, and/or work phone; send letters to all addresses on file; and could ultimately end in court and/or with a damaging contribution to your credit rating. IES urges all clients to pay their bills on time to avoid an unnecessary transfer to debt collection. As always, if finances are tight, we will make every effort to work with you and set up a payment plan.
In the event that a debt collection agency is used to collect unpaid balances, an additional recovery fee will be determined by the collection agency and charged to the client. This is to cover charges incurred by IES to collect any outstanding debts. The client will also be held responsible for all additional fees incurred to collect the debt. (Including, but not limited to, lawyer fees, court fees, filling fees, etc).
V. BILLING ERRORS
Billing errors don't happen often, but if a client notices one, they should immediately contact us. Refunds of overpayments will be made for up to a maximum of 2 months, so clients are urged to check billing statements regularly. Additionally, we reserves the right to bill clients for accidental undercharges for a maximum of up to 2 months. Refund request made after a 2 month window will not be processed.
A problem client is defined as "a client that is difficult to deal with". This includes, but is not limited to: constant text messages, e-mails, or phone calls; unprofessional actions; inflammatory comments, or rude/crude comments directed to the staff or other clients. Anyone deemed to be a problem client will be assessed with a $100.00 penalty for each occurrence and may their project dropped with the remaining balance due in full if deemed to be repeat offenders.
We take pride in offering high quality services and professional customer service. While we make an effort to ensure every aspect of our service is to the client's liking, we cannot control every variable. It is up to each client to regularly test the functionality of his/her purchased services and any other product or service to ensure everything works as desired. If any problem is discovered or error has been made, please report the problem to us immediately so we may take appropriate action. We cannot be responsible for perceived loss of revenue or loss of advertising funds, under any circumstances. Changes resulting from a client's error and/or problems related to third party vendors or technology may result in additional charges.
If the client changes his/her mind about doing work with IES after work
on the project has started, the client will be responsible for the
amount of work already completed. Depending on the amount of work
completed at the time of cancellation, this may mean receiving a full
refund, a partial refund, no refund, or owing additional fees. In order
to protect clients from unintentional service interruption, clients
wishing to terminate any services must request the service termination
IES reserves the right to terminate any client, for any reason, at our discretion and determine the amount due by the client.
I. THIRD PARTY VENDORS
Third party vendors may have separate terms of service agreements. IES cannot be held liable for disputes with third party vendors. Additionally, IES cannot be held responsible for lack of functionality or any other aspect of third party services.
II. REFUSAL OF SERVICE
IES reserves the right to decline to do business with any client for any reason.
III. CHANGES TO TERMS OF SERVICE
IES reserves the right to change these terms of service at any time for any reason.
